Buying a Korean business? Ask what keeps working after closing.

A compelling product and a sound earnings record are only the starting point. For an international buyer, the next question is practical: will the business keep delivering when ownership changes?

In an owner-led business, relationships, technical judgement and daily decisions may sit with a small group of people. That can be a source of strength. The acquisition plan should make clear how those strengths will remain available to the business.

Three continuity checks: customers, know-how and operations

Value needs a way to travel

A customer list does not explain who resolves a quality dispute. A technical drawing may not capture the judgement needed to manufacture a reliable product. A management chart does not show who actually releases urgent expenditure.

The useful diligence question is therefore specific: which activities depend on particular people, and what evidence shows that the organisation can sustain them? This is a company-level assessment, not a claim that all Korean businesses share the same weaknesses.

Three conversations before an offer becomes a plan.

Customer continuity Who owns the relationship?

Key contracts, account responsibilities and service history.

Who communicates the transition, when, and subject to which permissions?

Technical continuity Who holds the know-how?

Process instructions, quality records, training and named specialists.

Which skills need retention, documentation or a trained backup?

Operating continuity Who makes decisions?

Approval routes, cash forecasts and operational escalation procedures.

Who can decide and pay from the first day under new ownership?

The owner’s next role belongs in the discussion

A seller may want to step back, remain involved, protect employees or preserve the company’s identity. A buyer may need continuity but also clearer authority. Those objectives should be translated into a defined role, scope, duration and handover process.

Do not leave this as a general promise to “help after closing.” Identify the decisions the owner will retain, the people who will take over and the milestones that mark a completed handover. Any contractual arrangements require transaction-specific professional review.

A better meeting output One dependency map, one named owner for each action, and one agreed evidence request. More documents help only when they resolve a decision.

Make continuity part of the transaction.

Illustrative workstreams; they may overlap and must fit the transaction.

Two public examples, with clear limits

Siemens / Altair. Siemens announced completion of its Altair acquisition on 26 March 2025 and described the combination of complementary industrial software capabilities. The relevant lesson for this article is to examine what capabilities a buyer is acquiring and how they connect. The announcement does not establish that integration has achieved every intended outcome. [1]

Hanwha / Philly Shipyard. Hanwha’s account of its shipbuilding expansion links planned execution with workforce training and the transfer of skills. This is a Korean company’s overseas acquisition, not a Korean inbound deal; it illustrates an operating agenda and is not evidence of completed results or a template for a smaller company. [2]

Local understanding should become a usable plan

The advisory task is to connect financial evidence with the business, its technical people and the owner’s intentions. That means organising difficult questions, clarifying conflicting expectations and following unresolved actions through preparation and negotiation.
